Please read and review these terms of use (the “Terms of Use”) carefully before accessing or using this website. By accessing or using this site, you acknowledge that you have read, understood and agreed to these Terms of Use. If you do not agree to the Terms of Use, you may not access or use this site.

The Site is operated by WuXi AppTec Sales LLC, a New Jersey limited liability company, with its principal office at 6 Cedarbrook Drive, Cranbury, NJ 08512 (“WuXi AppTec,” “we,” “us,” or “our”). References to affiliates do not make any affiliate a party to these Terms of Use unless that affiliate expressly agrees in writing.

The Site is intended for business-to-business use by professionals acting for their organization. It is not directed at consumers, patients, or clinical trial participants, and it does not offer products or services to consumers. If you are not using the Site in a business or professional capacity, you are not authorized to submit forms, create an account, or request services through the Site.

Individual contracts for research, development, manufacturing, or other services between you or your organization and a WuXi AppTec group company prevail over these Terms of Use to the extent of any conflict. Our collection and use of personal information through the Site is described in the Website Privacy Notice. If these Terms of Use and the Privacy Notice conflict on a privacy or personal-data matter, the Privacy Notice controls.

Nothing in these Terms of Use excludes or limits any liability, right, or remedy that cannot be excluded or limited under applicable law, or requires you to waive a mandatory statutory right that applicable law does not permit you to waive.

1. Use of Website

The information provided on this site (the “Site”) is for general informational and communication purposes. Certain sections of this website may be intended for particular audiences including WuXi AppTec employees, customers and shareholders, as well as members of the pharmaceuticals industry. Your access to and use of the information contained in the website is subject to these Terms of Use.

2. Disclaimer

NEITHER WUXI APPTEC NOR ANY PARTY INVOLVED IN CREATING, PRODUCING OR DELIVERING THIS SITE SHALL BE LIABLE FOR ANY DIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, INDIRECT, OR PUNITIVE DAMAGES ARISING OUT OF USERS ACCESS, USE, OR INABILITY TO USE THIS SITE OR ANY WEB SITES LINKED TO THIS SITE, OR ANY ERRORS OR OMISSIONS IN THE CONTENT OF ANY OR ALL SUCH SITES WHETHER BASED ON WARRANTY, CONTRACT, TORT OR ANY OTHER LEGAL THEORY AND WHETHER OR NOT ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Information pertaining to WuXi AppTec products or services may be specific to particular markets and is not an offer of products or services where prohibited. The Site does not constitute advertising of medicinal products to the general public and does not provide medical advice. Other countries may have laws, regulatory requirements and medical practices that differ from those in the U.S. This site links to other sites produced by WuXi AppTec’s various operating divisions and subsidiaries, some of which are outside the U.S. Those sites may have information that is appropriate only to that particular originating country. Any offer for any product or service made on this website is void where prohibited.

13. Arbitration

Except as regarding any action seeking equitable relief, including without limitation for the purpose of protecting any confidential information or intellectual property rights, any controversy or claim arising out of or relating to the Terms of Use or the Site shall be settled by binding arbitration in accordance with the commercial arbitration rules, in effect at the time the proceedings begin, of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be held in the State of Delaware.

This Section 13 applies only to disputes arising out of these Terms of Use or use of the Site. It does not apply to any separate services agreement between you or your organization and a WuXi AppTec group company, which remains subject to its own dispute-resolution terms. If applicable mandatory law requires that a dispute be heard by a court, that requirement prevails.

All information relating to or disclosed by any party in connection with the arbitration of any disputes hereunder shall be treated by the parties, their representatives, and the arbitrator as proprietary business information. Such information shall not be disclosed by any party or their respective representatives without the prior written authorization of the party furnishing such information. Such information shall not be disclosed by the arbitrator without the prior written authorization of all parties. Each party shall bear the burden of its own counsel fees incurred in connection with any arbitration proceedings.

Judgment upon the award returned by the arbitrator may be entered in any court having jurisdiction over the parties or their assets or application of enforcement, as the case may be. Any award by the arbitrator shall be the sole and exclusive remedy of the parties.

14. Indemnification

You agree to defend, indemnify, and hold us and our affiliates, and our and their officers, directors, employees, and agents harmless from and against any claims, actions or demands, liabilities and settlements including without limitation, reasonable legal and accounting fees, resulting from, or alleged to result from, your violation of the Terms of Use, to the extent permitted by applicable law.

15. Additional Terms Applicable to Registered Users

We do not warrant that the functions contained in the services provided by the Site will be uninterrupted or error-free, that defects will be corrected or that these services or the server that makes it available will be free of viruses or other harmful components.

Accounts, if offered, are provided solely for business use by authorized personnel of your organization. As part of the registration process, each user will select a password and login name. You shall provide us with accurate, complete, and updated account information. Failure to do so shall constitute a breach of the Terms of Use, which may result in immediate termination of your account. You may not select or use a login name of another person with the intent to impersonate that person, or use a name subject to the rights of any other person without authorization.

You shall notify us of any known or suspected unauthorized use of your account, or any known or suspected breach of security, including loss, theft, or unauthorized disclosure of your password. You shall be responsible for maintaining the confidentiality of your password.

Any fraudulent, abusive, or otherwise illegal activity may be grounds for termination of your account, at our sole discretion, and you may be reported to appropriate law-enforcement agencies. Where practicable, we will inform the account contact of a suspension or termination.

16. Miscellaneous

If any provision of this Agreement is held to be unlawful, void or unenforceable, then such provision shall be severable without affecting the enforceability of all remaining provisions. WuXi AppTec reserves the right to alter or delete materials from this website at any time at its discretion.

We may update these Terms of Use by posting a revised version on the Site. The revised Terms of Use take effect on the date stated in the posting or, if none is stated, when posted. Continued use of the Site after that date constitutes acceptance of the revised Terms of Use. Changes will not apply retroactively to restrict rights that have already accrued.
